Terms of Use

These are the terms that apply when you use the Vinn website and any Vinn programme or session. By using Vinn you agree to them. If something here isn't clear, email support@vinn.co and we'll explain it.

1. Who we are

Vinn is a practical AI implementation partner for New Zealand founders and entrepreneurs. Our AI engine is called Mempra. In these terms, "Vinn", "we", "us", and "our" mean us, and "you" means the person or business using the site or taking part in one of our programmes.

2. What we offer

Vinn provides a free AI Assessment, the Voice Brief Workshop, the AI Bottleneck Breakthrough Session, learning content, a member dashboard, and three trademarked programmes:

Programme details, intake dates, and any commercial terms are confirmed with you in writing before you start.

3. Your account

You're responsible for keeping your sign-in details secure and for everything that happens under your account. Please tell us straight away if you think someone else has accessed it. We use Clerk to handle sign-in, and Clerk's terms apply to that part of the experience.

4. Acceptable use

Please use Vinn the way it's meant to be used. Don't try to break into other people's accounts, scrape the site at industrial scale, reverse-engineer our service, or use it to send spam, harass anyone, or do anything illegal. We can suspend or close any account that does.

5. The AI Assessment and personalised guide

Your AI Assessment score, stage placement, and personalised guide are general guidance based on the answers you give us, plus what we know about NZ business. They aren't legal, accounting, tax, or professional advice for your specific situation. Please use your own judgement, and get specialist advice where it matters.

6. AI-generated content

Parts of Vinn, including Mempra outputs such as the personalised AI Assessment guide and assistance inside the programmes, are produced with help from AI models. We do our best to make the output useful and accurate, but AI can be wrong. You're responsible for sense-checking anything before you act on it.

7. Programme participation, payment, and cancellation

The Voice Brief Workshop and the AI Bottleneck Breakthrough Session are free. For paid programmes (Wired™, Vinn Blueprint™, and The Vinn Operator™), commercial terms, payment schedule, deferral, and cancellation terms are confirmed in your enrolment agreement or invoice before you start. If a programme isn't right for you, contact us and we'll work it out fairly. Some programmes have prerequisites (for example, Wired™ is a prerequisite for The Vinn Operator™) and limited intakes, so a place is only confirmed once we've accepted you and you've completed the steps in your enrolment.

8. Our content and intellectual property

All content on Vinn, including the text, programmes, frameworks, methodologies, templates, code, designs, logos, the Vinn name, the Mempra name, and the Wired™, Vinn Blueprint™, and The Vinn Operator™ marks, is the intellectual property of Vinn or is licensed to us, and is protected by New Zealand and international copyright, trade mark, and other intellectual property laws. We retain all rights, title, and interest in that IP.

You may read and use our content inside your own business as part of using Vinn. You may not copy, republish, resell, sublicense, redistribute, train AI models on, or create derivative works from our content, and you may not pass it off as your own. The Vinn Operator™ accreditation grants a limited, revocable right to describe yourself as accredited while you remain in good standing; it does not transfer ownership of any Vinn IP. Any unauthorised use is a breach of these terms and of our intellectual property rights.

9. Your content

You keep the rights to anything you provide to us, like your AI Assessment answers, programme registrations, and any notes you save in the dashboard. You give us a limited licence to store and process that content so we can run the service for you, and we treat it under our Privacy Policy.

10. Third-party links

Vinn links to other websites and tools that we don't control. We're not responsible for the content, accuracy, or behaviour of those sites, and a link from Vinn isn't an endorsement. Your use of any third-party site is governed by that site's own terms and privacy policy.

11. Service availability

We aim to keep Vinn up and running, but we don't guarantee uninterrupted service. Things break sometimes, and we may need to take the site down for maintenance.

12. Liability

To the maximum extent permitted by NZ law, Vinn is provided "as is" and we don't accept liability for indirect or consequential loss, lost profit, or loss of data arising from your use of Vinn. Nothing in these terms limits any rights you have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 where they apply.

If you're using Vinn in trade, both of us agree that the Consumer Guarantees Act doesn't apply (section 43), and you accept that the limitations in this section are reasonable.

13. Ending things

You can close your account at any time by emailing us. We can suspend or close an account if these terms are breached, or if we need to stop offering a particular service. We'll give you reasonable notice where we can.

14. Changes

We may update these terms from time to time. If we make a material change, we'll let you know by email or via a notice on the site. The "last updated" date at the top always reflects the current version.

15. Governing law

These terms are governed by New Zealand law. The New Zealand courts have exclusive jurisdiction over any dispute.
